The SOCIMI is the most confusing structure in the Spanish investment market. It's been sold as "the tax-free society," and that leads owners with two or three floors to ask if they should ride one. The answer's most often no. The system is designed for large portfolios with a call for permanent rental and partners wanting stock market liquidity, not to optimize the taxation of a few tourist housing.

That guide translates the regime into capital decisions: what exactly is, what requirements it meets, how it really tax (society and The partner), why she survived the fiscal reform of 2024, and the threshold from which she ceases to be an idea of a prospectus to become a contributing structure. All figures have a source and those with no hard institutional support are marked as an estimate.

What A SOCIMI Is and What Problem Solves

SOCIMI are the acronyms of Unbound Company for Investment in the Real Estate Market. It's the Spanish equivalent of the Anglo-Saxon REIT: a listed public limited company with a business to buy and rent them. The Act 11 / 2009have been amended several times since its creation.

The problem with dual taxation. In an ordinary company, the benefits of rental tax first at the Company Tax and then again at IRPF after the partner receives the dividend. The sociMI removes the first step: the company tributes to the 0% and the whole fiscal burden lies with the partner. Instead, the legislator requires that this benefit be effectively distributed - hence the obligation to pay dividends. The logic is: if you are not going to pay for Companies, at least share and that Finance pitted through IRPF from the shareholder.

For a tourist asset investor, this matter because a hotel, an aparthotel or an apartment building for rent are exactly the type of asset that the regime envisages. The critical nuance - we will see below - is that short-stay tourist rental with supplementary services can be described as an economic activity and not as a mere lease, and this increases the lace at the SOCIMI.

The requirements: capital, assets, income and retention

The social regime is not "elected" as a tax box. Objective conditions have to be met and maintained and if they are broken, the regime is lost and charged at the general rate with retroactive effects. The pillars are:

Form and capital. Company with minimum share capital of 5 millones de euros (Act 11 / 2009).
Quotation. Mandatory in stock exchange or a multilateral market (BME Growth, Euronext Access). It includes registered advice, liquidity provider and minimum free float.
Asset composition. At least 80% of the asset en inmuebles urbanos en alquiler, terrenos para promoción o participaciones en otras SOCIMI/REIT (Ley 11/2009).
Origin of income. At least Income 80% The financial year should come from these rents and from the dividends of qualifying shareholdings.
Stay. The property should be held rental (or offered for rent) minimum 3 years before they can be sold without a crime.
Divide collection. Mandatory distribution of each financial year (detailed in the tax Section).

The contribution requirement is the one that most underestimates the investor coming from the direct brick. It's not enough to have 5 M €of real estate: we have to get into a market, publish audited accounts, evaluate the portfolio regularly and sustain a compliance structure that costs money every year. That's part of the real "cascade" of the SOCIMI, but not of the incumbent of the 0%.

How true tax: society and partner

The "0%" is true but incomplete. The Social and Social Section moves taxation from society to partner. Three layers:

The compulsory distribution of dividends is at the heart of the regime: 80% of profit regular rental, 100% of dividends and 50% of seedlings by sale of real estate (with the remainder to be re-invested). That has a direct strategic result: SOCIMI isn't a good vehicle for re-investing and composing. If your thesis is to buy, improve NOI and re-invest the flow into more assets, the terms of reference require you to get cash out every year rather than capitalizing them inside.

Why He Survived 2024's Tax Reform

In October of 2024, pSOE and Sumar agreed to remove the fiscal privilege of the social partners and put them at the general rate of the 25% at the Company Tax as part of the housing package (Infobae, 2024). The announcement was sufficient to move the market: the industry's high prices, Merlin and Colonial, accused the market share (TradingView, 2024).

But at 2024's November fiscal package vote, the PSOE did not finally support the amendment agreed with Sumar and the rise declined. (Infamae / El Independente, 2024). The 0% tax regime remained intact. At 2026 remains valid.

Readying for the investor isn't "after danger." That's a latent regulatory risk: the Government stated its intention to reduce the benefits of MTS (Servimean, 2024)and the issue can come back at any budget cycle. Just as with the regulation of the tourist housing by CAA, a structure whose investment case depends on a type of 0% that the legislator has been trying to play has an uncertainty premium that needs to be specified. A Social Security Section does not have a Social Security Section for a year's tax system and a thesis that holds up even if fiscal treatment changes.

SOCIMI vs regular holding for a tourist portfolio

That's the real decision for most investors who ask us. The alternatives are not "social or nothing," but social versus Loan. Honest comparative:

The point that the generic content never clarifies: Social regime awards leaseand short stay tourist rental with cleaning, check-in and supplementary services can name as economic activity of accommodation, closer to the hotel and to the pure lease. Filling a pure VT portfolio into a SOCIMI requires good design of the structure - typically by separating the property (propco, that rents to an operator) from the operation (opco, that provides the service). That's the same logic as and leaseback and underwriting output: who owns the brick and who exploits the business isn't a detail, decides the taxation.

The threshold: When an EMI ceases to be an incumbent

By withdrawing the marketing, a SOCIMI begins to make sense once several conditions are met, and at the same time a few conditions are met, and not a single one:

Volume. A carrier far above the minimum of 5 M €, where the saving of the 0% with a low level of contribution and compliance costs.
Permanent rental vote. Assets that you will have been leaking for years, not rotating- 3's term and the required distribution punish fast rotation.
Partners that want liquidity. Investors that value their ability to enter and leave through listed market and have been untied to illicit shareholdings.
Propco / opco structure solved. The service component of the catered tourism asset to have the SOCIMI owned - tenant, non-operator.

If some of these pieces are missing, they have been more and more performing an SL with well-run economic activity. And "well-managed" is the part that decides the net jield, not the social wrapping. A sociMI with an under-exploited asset tributes to the 0% about a mediocre gain and an SL with an asset that occupies the 87% and reduces OTAs dependence generates more box after tax than the fiscally "perfect" structure onto a loose asset.

What tax does a sociMI have?

The SOCIMI tax the 0% at the Company Tax on income that fulfill the regime. The tax burden will be transferred to his or her partner, who will tax for his or her dividends (19% for individuals at the first instalment of his or her savings, according to AEAT). A special 15% levy on undistributed benefits that have been attested at the general rate, currently valid from 2021 (Act 11 / 2021), penalizes retention of benefits rather than sharing them.

Did SOCIMI survive fiscal reform?

Yeah. PSOE and Sumar agreed in October of 2024 to place the sociMI at the general rate of 25% at the Company Tax but at the vote of the November tax package of 2024 the pSOE did not finally support the amendment and the tax regime to 0% remained intact (Infobae / The Independent, 2024). The initial announcement put Merlin and Colonial into stock market. The fiscal regime remains valid at 2026 but the Government remains committed to its review.

Social or regular holding for tourist assets?

Depende del tamaño de la cartera y del horizonte. How much minimum capital does a SOCIMI require?

The minimum share capital is 5 million. In addition, recurrent costs are missing from the prospectus: market entry (BME Growth, Euronext Access), registered consultant, liquidity provider, audit, periodic ratings and compliance.
