What's really an NNN contract and why it's called "triple"

NNN's coming from english Net-net-net. At an ordinary lease, the owner takes an income and from it has to pay IBI, housing and maintenance insurance. In a triple net, these three items are moved to the tenant: the operator pays the basic income more impuestos del inmueble, seguros y mantenimiento, incluido el estructural. That's the best version of net lease. On the single net the tenant only takes up taxes, at the double net, taxes and insurance, and at the triple net, also maintenance and repairs (Cushman and Wakefield, 2025; Uria Menendez). Reported to hotels, the operator - a tenant also supports all the hotel operations - personnel, supplies, marketing, regular maintenance - and remains with the result of operation. The owner's a brick renter, not his business.

The nuance that makes the difference with a classic hotel rental is structural maintenance. In Spanish tourist practice, an operator usually takes up IBI, building insurance, community and property maintenance (Tourinegs, 2025). Where exactly the line between "structure" (roof, foundation, façade) and "rest" is the most contentious clause. Don't leave her ambiguous.

The contract pieces that decide your profitability before signing

A NNN isn't valued for the nominal income that appears on the cover but how five levers are drafted. Any of them bad closed up will eat the jield:

1. Base rental: Fixed or indexed to RevpAR

The income can be a fixed figure (pure rental model) or have a variable component linked to the Revpar or operator's income. The more variable, the more cycle catches - and the more risk you take. The classical NNN tends to rent with ground.

2. Scaling by IPC

Without an IPC update, inflation erases your real income every year. Set an Annual Review Clause (PC or IPC with ground / ceiling). That's what differentiates an income asset from a bonus that loses purchasing power.

3. Extension time and options

The NNN lives with long periods (10, 15, 20 with options). The term gives stability but also ties you: if the operator's weak, a long contract is a long problem. Negotiates breakages and mid-term revisions.

4. Security

Bank advance, deposit, corporate guarantee from the matrix. The "guaranteed" rent's only worth what the guarantor's worth. He measures his actual solvency, not his mark.

5. Collection of structural CAPEX

It lays down in writing what's structure and what's maintenance. A FF & E reserve (furniture and equipment fund) and a capex calendar prevents an old and old 8 and an old rental.

How an NNN contract is valued: the cascade of euro pre- sign

Here's the core. The typical mistake is to value a hotel for its market raw ield. A NNN is valued by net income that really gets to the ownerwith a market cap. With a clear income of recurrent expenses, the valuation approaches a life income: Value.

Inverter reading: with a well-written NNN, those ~ 170.000 € from IBI, insurance, community and maintenance They don't come out of your pocket. A regular lease, yes. That's why the same nominal income's better at an NNN - and that's why we have to check line by line that the contract actually moves these items, with no exceptions that they'll give you back the cost by the back door.

NNN vs. variable income: stability against upside

The bottom line decision isn't "what contract's best," but "what risk you want to take." The triple net gives you a predictable income, almost without jobs, in exchange for tipping up the upside: if the operator fires RevpAR, the extra's his. The variable income (management about GOP) does otherwise - you catch the improvement but you assume the risk of the cycle.

Each commission point that doesn't go to the middleman engordates the GOP from which the assignment comes. Why NNN gain ground in Spanish tourism

The triple net isn't new at office or logistics but its adoption at hotels is accelerating. Reason's the time of the cycle. International tourist spending in Spain exceeded 105.000 M €till September of 2025, a 7% more than the previous year (INE / Ministry of Industry and Tourism, 2025). With these fundamentals, operators and owners seek structures that share risk well: the owner wants stable income without operation, the operator wants complete control to capture the upside.

That's why we are expecting an increase of large-scale tourism complexes structured under NNN, because of the stability that it offers to both sides (Tourinegs, 2025). For the equity investor - family office, insurer, rental fund - a hotel with long NNN, scaled by IPC and solvent operator behaves as a quasi-bonus income asset with the advantage of revaluation of the brick. That's the kind of structure that also supports operations of sale and leaseback hotelwhere the chain sells and remains under lease.

The risk that doesn't appear on the cover of the contract

The NNN moves the costs from the asset to the operator but does not carry an operator's risk of breaking up. If the operator goes into contest, your "guaranteed" income becomes a credit at mass. That's why an NNN's due diligence isn't about the brick but about the operator: accounts, track record, security rights, exposure to a single market.

Tres trampas habituales que conviene cazar antes de firmar:

  • Undefined structural maintenance. If the clause doesn't list what's a structure, you'll end up paying for repairs that you thought the operator did.
  • A rent without an IPC or with a low ceiling. At 15 years, a fixed nominal income loses an important share of purchasing power.
  • Nominal guarantee, weak guarantor. A guarantee from an asset-free SPV doesn't protect anything. Requires collateral or collateral.

And the question that closes everything: what about the asset the day you sell or the operator goes? A hotel with a solid and long NNN is easier to transmit to an institutional buyer, because it buys a contractual rent, not a business. A triple net lease (NNN) Net-net-net) is a contract in which the tenant-operator pays the basic income plus the three great items that with a regular lease the owner holds: property tax (IBI), building insurance and maintenance and repairs costs, including structural maintenance. What gives stability to the heritage

Three things: a clear income from recurrent asset costs (an operator absorbs IBI, insurance and maintenance), a long time with IPC climbing that protects from purchasing power, and a solvent operator with collateral. That package turns the hotel into a quasi-bonus income asset, which explain that NNN will gain ground in large-scale tourism projects (Tourinews, 2025).
